(Mutual Fund) Rules, 2025
Investment Objective
The Fund shall invest in accordance with the Bangladesh Securities and Exchange Commission (Mutual Fund) Rules, 2025, and only in securities, deposits and other investments permitted or approved by the Bangladesh Securities and Exchange Commission, Bangladesh Bank, Insurance Development and Regulatory Authority (IDRA), or any other competent authority, as applicable.
Investment Liquidity
All money collected under the Fund shall be invested only in eligible securities and instruments, including securities listed on the main board or SME platform of a stock exchange; subscriptions to Initial Public Offerings (IPO/QIO), Repeat Public Offerings (RPO/RQIO) and rights offers of securities intended for or already listed on such platforms; and Government securities.
All securities purchased or transferred shall be registered in the name of the Fund.
Investment Exposure
To maintain appropriate diversification and manage investment risks, the Fund shall comply with the following investment limits:
- At least 60% (sixty percent) of the Fund’s total assets, calculated on the basis of cost price, shall be invested in capital market instruments. Of this amount, at least 50% (fifty percent) of the total assets shall be invested in listed securities.
- Not more than 40% (forty percent) of the Fund’s total assets, calculated on the basis of cost price, shall be invested in Government securities. This restriction shall not apply to a Fixed Income Scheme.
- At least 75% (seventy-five percent) of the total assets of a Fixed Income Scheme, calculated on the basis of cost price, shall be invested in Fixed Income Securities.
- Not more than 30% (thirty percent) of the Fund’s total assets, calculated on the basis of cost price, shall be invested in the shares, bonds, debentures or other securities of any single sector.
- Not more than 25% (twenty-five percent) of the Fund’s total assets, calculated on the basis of cost price, shall be invested in the shares, bonds, debentures or other securities of any single group.
- The Fund shall not invest in more than 10% (ten percent) of the paid-up capital of any single company.
- Not more than 10% (ten percent) of the Fund’s total assets, calculated on the basis of cost price, shall be invested in the shares of any single company.
- All funds managed by the same Asset Manager shall not, in aggregate, invest in more than 25% (twenty-five percent) of the paid-up capital of any single company.
Investment Restrictions
The Fund shall comply with the following investment restrictions:
- The Fund shall not invest in or lend to another scheme managed by the same Asset Management Company.
- The Fund shall not deposit more than 20% (twenty percent) of its total assets, calculated on the basis of cost price, in bank accounts, including current accounts, savings accounts, term deposits or other similar accounts.
- Deposits maintained with any single bank shall not exceed 15% (fifteen percent) of the Fund’s total assets, calculated on the basis of cost price. These restrictions shall not apply at the inception of a Mutual Fund Scheme or during its winding up or dissolution.
- The Fund shall not acquire any asset out of the Trust Property if such acquisition involves the assumption of unlimited liability or results in any encumbrance over the Trust Property.
- The Fund or the Asset Management Company acting on behalf of the Fund shall not provide or guarantee any term loan or undertake any activity that contravenes the Bangladesh Securities and Exchange Commission (Mutual Fund) Rules, 2025.
- An investment may be transferred from one scheme to another only if the listed securities are transferred at the prevailing market price through the spot market and the transferred securities are consistent with the investment objective of the receiving scheme.
- The Fund shall purchase and sell securities on a delivery basis. It shall take delivery of securities upon purchase and deliver securities upon sale within the applicable settlement period and in accordance with the practices of the relevant stock exchange.
- The Fund shall not undertake option trading, short selling or carry-forward transactions.
- The Fund shall not obtain any loan for investment purposes.
- The Fund shall not purchase its own units.
Investment Decision
The Asset Management Company shall independently make all investment decisions and place orders for the purchase or sale of securities for the Fund’s portfolio. Such decisions shall be made in accordance with the Fund’s investment objective, applicable regulatory requirements and the best interests of the unit holders.
